1. The agreement

These Terms are an agreement between Joao Silva LLC (“we”, “us”) and the business that creates a Runvy account (“you”, the “Customer”). The person who signs up confirms they are at least 18 and can agree to these Terms for that business. Our Privacy Policy explains how we handle information and is part of these Terms.

2. Accounts and your team

  • You are responsible for your account, for the people you invite, for the roles and permissions you give them, and for everything done with their logins.
  • Keep passwords secret and tell us right away if you think an account was misused.
  • Give accurate information about your business and keep it up to date.

3. Your data

What you and your team put into Runvy — clients, deals, messages, files and other records — belongs to you. You give us permission to store, copy and process it only to provide, secure and support the service for you. You are responsible for having the right to use that information, including the consent of the people you message and of the employees whose records you keep, and for following the privacy laws that apply to your business.

4. Messaging rules

If you send texts, WhatsApp, Messenger or Instagram messages through Runvy, you are the sender and you must follow the rules that apply to them, including:

  • Texts (SMS): the U.S. Telephone Consumer Protection Act (TCPA), carrier rules and A2P 10DLC registration. Only text people who agreed to hear from you, identify your business, and honor STOP requests (Runvy blocks numbers that reply STOP).
  • WhatsApp: the WhatsApp Business Terms, Business Messaging Policy and Commerce Policy — for example, starting conversations only with approved templates and only with people who opted in.
  • Messenger and Instagram: Meta's Platform Terms and messaging policies, including the 24-hour reply window.

Messaging providers may charge for messages (for example per WhatsApp conversation or per text) and may suspend numbers or accounts that break their rules. We may pause messaging for an account that does.

5. Acceptable use

Do not use Runvy to: send spam or messages people did not agree to receive; break any law or anyone's rights; upload malware; try to reach another business's data or get around security or limits; resell the service without our written permission; or harass, threaten or deceive anyone. We may suspend an account that does, after notice when reasonable.

6. Third-party services

Runvy connects to services run by others, such as Twilio, Meta (WhatsApp, Messenger, Instagram) and payment processors. Their own terms apply to your use of them, and we are not responsible for their availability or changes. If a provider stops offering a feature, the matching part of Runvy may stop working.

7. Fees

If your plan has a fee, the price, billing period and what is included are shown before you pay. Fees are charged in advance and, unless the law says otherwise, are not refundable for a period already started. Usage that providers charge (such as phone numbers and texts we provide to you) may be billed on top, as shown in Runvy. We may change prices with at least 30 days' notice; the change applies from your next billing period.

8. Ending the service

You can stop using Runvy at any time; to close your account and delete your data, email us at runvy.support@gmail.com. We may suspend or close an account that breaks these Terms or does not pay, after notice when reasonable. Before closing an account for reasons other than a serious breach, we will give you at least 30 days to ask for a copy of your data. After an account is closed, its data is deleted as described in the Privacy Policy.

9. Disclaimers

We work to keep Runvy running and correct, but it is provided “as is” and “as available”, without warranties of any kind, to the extent the law allows. Figures Runvy calculates — such as payroll estimates, taxes, profits and reports — are aids, not professional advice; check them with your accountant before relying on them.

10. Limitation of liability

To the extent the law allows, neither party is liable for indirect, incidental, special or consequential damages, or for lost profits, revenue or data, and our total liability for any claim about Runvy is limited to the amount you paid us for the service in the 12 months before the claim (or US$100 if you paid nothing). These limits do not apply where the law does not allow them.

11. Indemnity

You will defend and pay for claims brought against us by others that arise from your data, the messages you send, or your breach of these Terms or of the law.

12. Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. Disputes will be heard in the state or federal courts located in Delaware, unless the law where you are requires otherwise. If we can, we will first try to settle any dispute informally — email us at runvy.support@gmail.com.

13. Changes to these Terms

We may update these Terms. The version number and date at the top show the latest version. For important changes we will tell you in Runvy or by email at least 30 days before they apply; continuing to use Runvy after that means you accept them. If one part of these Terms can't be enforced, the rest still applies.
